Cie\u013e &#8211; zakotvi\u0165 z\u00e1kladn\u00e9 komer\u010dn\u00e9 nastavenie bud\u00faceho n\u00e1jomn\u00e9ho vz\u0165ahu. <em>Heads of Terms<\/em> m\u00f4\u017eu upravova\u0165 tie\u017e napr. exkluzivitu v rokovaniach a pod.<\/p>\n<h4>Odplatnos\u0165 \/ platby<\/h4>\n<p>N\u00e1jom mus\u00ed by\u0165 odplatn\u00fd (v opa\u010dnom pr\u00edpade ide o in\u00fd ako n\u00e1jomn\u00fd vz\u0165ah). Uveden\u00e9 nevylu\u010duje mo\u017enos\u0165 dohodnutia tzv. n\u00e1jomn\u00fdch pr\u00e1zdnin \/ obdobia bez n\u00e1jomn\u00e9ho (rent-free period) (napr. na za\u010diatku alebo na konci n\u00e1jmu alebo v dohodnut\u00fdch intervaloch a pod.).<\/p>\n<h4>Platby II<\/h4>\n<p>Spojenie n\u00e1jomn\u00e9ho a prev\u00e1dzkov\u00fdch n\u00e1kladov do jednej platby je v\u0161eobecne s\u00fadnou praxou vn\u00edman\u00e9 ako neplatn\u00e9 dojednanie pre neur\u010ditos\u0165. Je podstatn\u00e9 odli\u0161ova\u0165, \u010di n\u00e1jomca plat\u00ed podiel na spolo\u010dn\u00fdch prev\u00e1dzkov\u00fdch n\u00e1kladoch vo\u010di celkovej prenaj\u00edmatel&#8217;nej ploche alebo vo\u010di celkovej prenaj\u00edmanej ploche (mo\u017eno dohodn\u00fa\u0165 r\u00f4zne alternat\u00edvne rie\u0161enia, napr. podl&#8217;a miery obsadenosti budovy).<\/p>\n<h4>Flexibilita<\/h4>\n<p>N\u00e1jomca si m\u00f4\u017ee zabezpe\u010di\u0165 mo\u017enos\u0165 pr\u00edpadnej bud\u00facej expanzie. Aj v r\u00e1mci pr\u00e1va na bud\u00facu expanziu sa vyu\u017e\u00edvaj\u00fa viacer\u00e9 alternat\u00edvne rie\u0161enia, ako napr. pr\u00e1vo prv\u00e9ho odmietnutia (right of first refusal), pr\u00e1vo prvej ponuky (right of first offer) alebo tzv. povinn\u00e1 expanzia (must take option).<br \/>\nKa\u017ed\u00e1 alternat\u00edva je uplatnitel&#8217;n\u00e9 pri \u0161pecifick\u00fdch zmluvn\u00fdch podmienkach (z\u00e1vis\u00ed od komer\u010dnej dohody \/ preferencie str\u00e1n).<\/p>\n<h4>Prolong\u00e1cia<\/h4>\n<p>N\u00e1jomca si m\u00f4\u017ee dohodn\u00fa\u0165 tzv. prolonga\u010dn\u00fa opciu, zabezpe\u010duj\u00facu pr\u00edpadn\u00fd n\u00e1jom v dodato\u010dnom obdob\u00ed (uplatnitel&#8217;n\u00e1 zvy\u010dajne do dohodnut\u00e9ho obdobia (napr. 12 mesiacov) pred skon\u010den\u00edm p\u00f4vodnej doby n\u00e1jmu).<\/p>\n<p>\u0160tandardn\u00e9 alternat\u00edvy:<\/p>\n<p>&#8211; automatick\u00e1 prolong\u00e1cia doby n\u00e1jmu,<br \/>\n&#8211; pr\u00e1vo\/opcia n\u00e1jomcu na pred\u013a\u017eenie doby n\u00e1jmu.<\/p>\n<h4>Automatick\u00e9 pred\u013a\u017eenie doby n\u00e1jmu<\/h4>\n<p>Automatick\u00e9 pred\u00ed\u017eenie n\u00e1jmu o vopred dohodnut\u00e9 obdobie, ak n\u00e1jomca neozn\u00e1mi prenaj\u00edmate\u013eovi, \u017ee nem\u00e1 z\u00e1ujemo pred\u013a\u017eenie doby n\u00e1jmu. Spravidla, v pr\u00edpade ne\u010dinnosti n\u00e1jomcu, sa n\u00e1jom automaticky predl\u017euje (napr. bez zmeny ostatn\u00fdch n\u00e1jomn\u00fdch podmienok).<\/p>\n<h4>Pr\u00e1vo \/ opcia n\u00e1jomcu na pred\u013a\u017eenie doby n\u00e1jmu<\/h4>\n<p>Tzv. option to renew. Na aktiv\u00e1ciu sa vy\u017eaduje akt\u00edvny krok n\u00e1jomcu. N\u00e1jomca m\u00f4\u017ee jednostranne uplatni\u0165 spravidla do ur\u010dit\u00e9ho obdobia pred uplynut\u00edm p\u00f4vodnej doby n\u00e1jmu (napr. 12 mesiacov).<\/p>\n<h4>Pr\u00e1vo na pred\u010dasn\u00e9 ukon\u010denie n\u00e1jmu (early termination right)<\/h4>\n<p>Pr\u00e1vo jednostranne ukon\u010di\u0165 n\u00e1jomn\u00fa zmluvu k vopred stanoven\u00e9mu d\u00e1tumu (pred uplynut\u00edm p\u00f4vodnej doby n\u00e1jmu). Zvy\u010dajne b\u00fdva dan\u00e9 potom, ako uplynie dohodnut\u00e9 (fixn\u00e9) obdobie n\u00e1jmu.<\/p>\n<h4>Alternat\u00edva \u2013 \u010diasto\u010dn\u00e9 ukon\u010denie n\u00e1jmu<\/h4>\n<p>Pr\u00e1vo jednostranne ukon\u010di\u0165 n\u00e1jom vo vz\u0165ahu k\u00a0vopred dohodnutej \u010dasti priestorov (partial early termination right).<\/p>\n<p>Pred\u010dasn\u00e9 ukon\u010denie m\u00f4\u017ee by\u0165 spojen\u00e9 s\u00a0poplatkom za pred\u010dasn\u00e9 ukon\u010denie n\u00e1jmu \/ \u00fahradou \u010dasti n\u00e1kladov na \u00favodn\u00fa rekon\u0161trukciu priestorov.<\/p>\n<\/div>\n<\/div><\/div><\/div><\/div><\/div>\n\n\n<p><\/p>\n","protected":false},"excerpt":{"rendered":"<p>\u201cN\u00e1jomn\u00e9 zmluvy?
